Corridor — Bridge Financing Memo

DRAFT — FOR REVIEW. NOT FOR TRANSMISSION.

Date: October 2026 · Borrower: 30 Angels LLC, a Florida limited liability company

1. The venture

Corridor is software and settlement infrastructure for physical energy trading desks. The platform has two functions: (1) trade support — market analysis, legal and contracting, shipping and logistics, refinery feedstock analysis; and (2) transaction processing and settlement automation. The build starts with the most concrete opportunity: piped gas from Russia (Gazprom) to Turkey (BOTAŞ), where trades still settle through largely manual processes.

The operating structure is UK-led. Trade Corridor Ltd (UK) will lead the software programme with SEIS/EIS funding; a Turkish operating company will handle settlement under a phased rollout gated on a written sanctions opinion before any settlement activity. 30 Angels LLC, an existing Florida LLC, is the build vehicle funding the Phase 1 development.

2. Why now

BOTAŞ's two Gazprom contracts — roughly 22 bcm per year — expire at the end of 2026, and 2027+ volumes and duration have not been agreed. Turkey imports roughly 52 bcm of gas per year across a fragmenting contract architecture (private importers' Gazprom contracts run separately to 2043). Renegotiation and supply diversification are increasing the operational burden on trading desks — which is the demand the platform is built for. The window to build corridor infrastructure is open now, not in two years.

3. What this bridge funds

Phase 1 (months 1–3) of the build costs $152,000: a $105,000 engineering consulting engagement on 30-day early-payment terms, the Mac Mini compute cluster, networking, legal, and organizational expenses. The bridge raise is $100,000–$150,000 from two to three lenders, funding the Phase 1 build alongside the Borrower's own capital. It is explicitly bridge financing — the longer-term capital (UK SEIS raise, property refinancing) follows.

4. The loan

Each lender lends $50,000 to 30 Angels LLC under a Promissory Note and Success Fee Agreement (the full draft, I028, is available alongside this memo):

5. Repayment sources

Repayment comes from the first of: (a) refinancing of the Guarantor's UK investment properties — mortgages of approximately $200,000 per property must be settled first, so this is a later-2027 source; (b) the closing of a SEIS qualifying investment in Trade Corridor Ltd targeted early 2027; or (c) maturity at month 12. If neither (a) nor (b) has occurred before maturity, the full $100,000 is due at month 12, backed throughout by the personal guarantee (if required by lender).

6. The borrower

30 Angels LLC is an existing Florida limited liability company. The Managing Member is its sole member; no membership interests are being issued and no operating agreement amendments are contemplated — the lenders participate purely as creditors.

7. Risks

This is an early-stage venture. The platform is in development; there is no revenue. Repayment depends on the sources described in §5, and the personal guarantee (if required by lender) is the ultimate backstop. A lender should be prepared for the possibility of delayed repayment or total loss.

This memo is for informational purposes only and does not constitute legal or financial advice. Any securities described herein are offered only pursuant to an exemption from registration under Rule 506(b) of Regulation D. Any lending or investment involves risk, including total loss.
